What constitutes as Whistleblowing in DNB

  1. What is "Whistleblowing"?

    It is an act of voluntary disclosure / reporting to the Management of any improper conduct (misconduct or criminal offence or malpractices) committed or about to be committed by an Employee of the Company for further action.

  2. Who is a “Whistleblower"?

    Any Employee (or group of Employees) of DIGITAL NASIONAL BERHAD (DNB) or members of the public including vendors, contractors or customers who makes a disclosure against an Employee of the Company about an actual, suspected or anticipated improper conduct within the company.

  3. What is the objective of the DNB Whistleblowing Policy?

    This policy is to provide an avenue for all Employees of DNB and members of the public who have a business relationship with DNB to register their concerns or report any act or conduct that is in violation of DNB’s Code of Conduct and approved policies and procedures, actual or suspected misconduct, illegal or unethical behaviours, without fear of retaliation and unfair treatment.   4. What kind of misconduct will the Whistleblowing channel pursue?

    DNB will pursue all types of complaints which is related to business practices, breaches, non-compliance, or misconduct involving which includes:

     
    • Abuse of power or authority
    • Accounting, internal controls, auditing issues
    • Breach or non-compliance of DNB policy
    • Bribery and corruption
    • Conflict of interest
    • Data confidentiality or privacy
    • Embezzlement, theft, pilferage, misappropriation or attempt of the same
    • Fraud, blackmail, dishonesty, cheating, falsification or attempt of the same
    • Governance weaknesses
    • Harassment, bullying and sexual misconduct
    • Health, safety, security and environment
    • Malpractices
    • Participation in or instances of unauthorised transactions
    • Misuse of social media or business communications, including misrepresentation, spreading of malicious rumours, commission of any act that brings disrepute, embarrassment or affects DNB's legitimate interest or ruins its image
    • Money laundering
    • Process (operational, financial or accounting) weaknesses
    • Non-compliance or violation of any law and regulation
    • Commission of any subversive act
    • Retaliation from speaking up
    • Substance abuse or drugs
     

    The above list is not exhaustive and include(s) any act or omissions, which if proven, will constitute an act of omissions, misconduct under DNB' Code of Conduct or any criminal offence under relevant legislations in force.

  5. What channels are available for a whistleblower to make a complaint?

  7. What information should a whistleblower provide to DNB?

    The following information is required by DNB in order to expedite the communication, investigation, deliberation and decision-making process:

    1. Details of the person(s) involved;
    2. Details of the allegation:
      • Nature of the allegation;
      • Where and when the alleged misconduct / wrongdoing took place;
    3. Other relevant information; and
    4. Any supporting evidence if available.

    The Whistleblower must ensure that the email is contactable and valid for further communication / clarification with the Integrity and Governance Unit.

  8. What kind of evidence is accepted by the Whistleblowing channel?

    The Whistleblowing Channel accepts any form of evidence provided by a whistleblower (e.g. pictures, videos, voice recording, etc).

  9. Can a whistleblower decide at a later date to withdraw their complaint?

    Yes, a whistleblower may withdraw their complaint if they wish to do so.

  10. Does a whistleblower need to reveal their identity upon submission?

    No, it is not a requirement for a whistleblower to reveal their identity. A whistleblower can choose to remain anonymous during the investigation as long as they provide the necessary information relevant to the investigation.

  11. What is the protection granted to a whistleblower?

    A whistleblower will be protected under the DNB Whistleblowing Policy as per the following:

    • Protection of confidentiality of identity, to the extent where it is reasonably practicable.
    • Protected against any adverse or detrimental action(s).
  12. What is the possibility of a whistleblower’s identity is leaked during an investigation?
    • There is no possibility that a whistleblower's identity is leaked during an investigation.
    • Under the DNB Whistleblowing Policy, the nature of the complaint and the identity of the whistleblower will be protected, where it is reasonably practicable unless the whistleblower conducts themselves in a manner which may result in the revocation of said protection.
    • The identity of the whistleblower is kept confidential by the Integrity and Governance Unit unless consent to disclose the whistleblower’s identity is granted them.
